We have helped healthcare professionals purchase existing businesses and build their own ventures from the ground up. These businesses include surgery centers, outpatient medical offices, chiropractic practices, dental offices, veterinary clinics, and more.

We Represent Healthcare Professionals

We have years of experience helping many doctors, dentists, and veterinarians tackle various business matters. We are here to help these medical professionals with business formation, contract negotiations and drafting, mergers and acquisitions, dissolution, regulatory compliance, and much more.

Healthcare professionals who wish to grow their own business or join an established practice have many legal and financial concerns that are distinct from other types of industries and businesses. Our team is well-versed in the laws and regulations in the healthcare industry. We ensure our clients are not only well-informed but also compliant and set up for success.

Why You Should Choose Arenstein & Andersen Co., LPA

Aside from our traditional legal services for businesses, at Arenstein & Andersen Co., LPA, we have come to work with many healthcare professionals. We provide effective and efficient legal solutions for doctors, dentists, veterinarians, and others in the healthcare industry.

With considerable experience in the unique facets of what it takes to build and maintain a successful practice, such as insurance and billing issues, employment and contractual matters, audits, litigation defense strategy, healthcare law, and regulatory compliance, we are prepared to help you tackle any legal issue that may arise.

Legal Services We Offer to Healthcare Professionals

Entity Formation

Doctors and other professionals in the healthcare industry may wish to start their own business. We go over the advantages and disadvantages of forming a corporation, professional corporation, limited liability companion, partnership, or limited liability partnership. We always keep in mind tax consequences of such formations, including whether to be taxed as an S-corporation, C-corporation, or as a sole proprietorship or partnership. We also discuss the protection healthcare professionals need, including limiting their personal liability.

Once you determine the right type of legal entity for your business venture, we help you file your paperwork with the state and draft the formation documents that you need. If there are multiple owners, we are here to draft shareholder and buy-sell agreements.

Mergers and Acquisitions

Many healthcare professionals come to us for assistance in purchasing an existing business instead of forming a new venture from scratch. Taking over a business within the healthcare industry can be complicated. Are you buying the business’s equipment and inventory? Are you buying the name and the goodwill that comes with it? Or are you receiving the patient or client list too?

Arenstein & Andersen Co., LPA, has extensive experience handling acquisitions and mergers in the healthcare industry, from both the buyer and seller’s perspective. We can handle the due diligence, valuations, contract negotiations, and closing.

Tax Advice and Compliance

A complicated component of owning and running a healthcare business is properly recording and paying your tax liability. We will discuss the tax ramifications of the various legal entities, including double taxation associated with corporations versus pass-through entities.

Once your business is established, we can help you comply with state and federal tax laws.

Contract Drafting and Negotiations

Healthcare professionals who start their own businesses must be prepared to draft, review, negotiate, and finalize contracts with employees, independent contractors, and other businesses. For healthcare employees, including nursing assistants, technicians, and non-medical staff, we may focus on non-compete, non-solicitation, and non-disclosure agreements.

We also work with healthcare professionals looking to join an existing practice. If you are being offered a position at an established business, we can review the proposed contracts and help you negotiate the best possible terms of employment, including stock options, compensation, benefits, and more.

Employment Matters

When you form a healthcare business, you may be the sole owner and employee for a period of time. However, if you wish to grow your business, employees are necessary. We are here to advise you on relevant employment laws and regulations that impact your recruitment strategy, hiring process, retention, training, promotions, compensation, and terminations.

We will advise you on federal employment laws including:

We also will discuss Ohio’s wage, workers’ compensation, and unemployment benefits laws.

Commercial Leases

We assist healthcare professionals and businesses with real estate matters, including purchasing or leasing commercial property. We are here to review and negotiate commercial leases. If you are purchasing and renovating or building your own property, we can advise you on land use, zoning, and other healthcare regulations that impact the property.

Insurance and Billing

Not all healthcare businesses accept insurance or Medicare/Medicaid coverage. However, if you choose to do so, you need to be prepared for insurance and billing issues. Our team at Arenstein & Andersen Co., LPA have years of experience helping medical and healthcare professionals deal with the complexities of the insurance industry, maintain accurate and transparent billing practices, and deal with late payments and collections.

Regulatory Compliance

As a business within the healthcare industry, you may have to comply with many federal statutes, including:

Regulatory Agency Audits and Complaints

Despite your best efforts to comply with Ohio and federal regulations, you may find yourself the subject of a complaint, investigation, or routine audit. As a healthcare professional, you do not need to panic. Regulatory action is not the end of your business or career when handled properly. Talk with our business lawyers about how to best cooperate with the agency while also protecting and defending yourself from fines or a lawsuit.

Civil Litigation

Owning a business can be risky, particularly when you provide products or services in the healthcare industry. As a sole owner or one of several partners, you may find yourself named in a lawsuit brought by a patient, client, or other business.

Our business lawyers are here to defend you from lawsuits and help you resolve disputes as swiftly as possible. In many cases, we may be able to utilize an alternative dispute resolution method, such as mediation or arbitration, to resolve the issue. If the other party refuses to negotiate a settlement and pursues a court case, we will prepare to defend you at trial vigorously.

We also recognize that you may need to pursue compensation through the courts. We can represent you in pursuing a civil claim against another party, such as an employee or other business that breached a contract.

Dissolution

It may come time for you to step back from your business because of retirement, a divorce, a death in the family or among the owners, or a falling out with your partners.

We can help you leave the business as smoothly as possible. If you are leaving a business that will continue with the other owners, we can help you execute the exit strategy included in the shareholders or buy-sell agreement. This can be an emotional experience, but we will help you negotiate the best possible exit agreement.

If you are a sole owner of a business that you wish to sell, we will help you find a purchaser and go through the sales process, including obtaining a fair valuation and negotiating the sales contract.

Our business lawyers also have helped many healthcare professionals dissolve their business upon retirement. We can help you terminate your employees and offer severance packages when appropriate. We will help you liquidate your equipment and inventory and sell your commercial property.

Bankruptcy

You may come to a point where your business debts far exceed the business’s revenue. Though it can be a difficult choice, bankruptcy may be right for you and your long-term financial stability. Talk with one of our experienced business lawyers about your business filing for bankruptcy and getting out from under the creditors.
